I · Conclusion of contract
Orders are only valid if submitted in written form. After receiving the order, the seller/supplier will send a written confirmation by e-mail, after which the contract is considered concluded. Essential terms of the contract are: the date, delivery method, price and quantity. In the event of discrepancies, Antonio Viani Importe GmbH reserves the right to reject the goods.
II · Delivery, delivery note and invoice
The agreed delivery and/or collection date is specified in the contract. Any change in the delivery or collection date must be communicated promptly by the seller/supplier to Antonio Viani Importe GmbH and must be accepted by the company. In the event of delays, Antonio Viani Importe GmbH reserves the right to reject the goods.
The seller/supplier must inform Antonio Viani Importe GmbH of the collection/dispatch of the goods by email and must provide a copy of the transport document (D.D.T.) containing the quantity, palletization, batch number and expiry date of the dispatched goods.
III · Shipping and packaging
Each consignment must be accompanied by a delivery note and/or invoice. The goods must be supplied exclusively on EPAL CCG1 pallets (80x120) and no others, including a good-quality wooden pallet. The pallets must be carefully wrapped in cling film and adhesive tape so that any theft is easily detectable. Each pallet must have a document/sheet stating the product, quantity, expiry date and batch number.
The goods must be securely packed in cartons of the agreed dimensions. The cartons must be clearly marked on the outside with the correct labelling. The pallets themselves must be exchanged at the time of collection or at Nagel Verona. The goods must not be marked with labels indicating the retail price or other prices.
IV · Orders with delivery to third parties
Where goods are shipped directly to third parties (customers of Antonio Viani Importe GmbH), no invoice or other document indicating prices may be enclosed; only the delivery note is permitted.
The seller/supplier further undertakes not to submit offers to, or conclude sales contracts directly with, third parties who are customers of Antonio Viani Importe GmbH and are identified in the order. In the event of a breach, Antonio Viani Importe GmbH shall be entitled to compensation for damages and loss of profit.
V· Prices
Prices are based on the economic, fiscal and market conditions existing at the time of order confirmation.
Any price changes must be communicated in writing with at least six (6) months’ notice and may be reviewed and agreed upon exclusively during the designated periods of January (15.01) and July (15.07.).
If no such communication is made within these timeframes, the agreed prices shall remain valid for the subsequent period. Any price adjustment shall apply only upon the customer’s written acceptance.
VI · Payment
Payment shall be made within the agreed period by bank transfer. The currency is Euro.
VII · Confidentiality
The seller/supplier undertakes to treat as confidential all information relating to concluded transactions, including quantities, quality, and prices of the supplied goods, and not to disclose such information to third parties
VIII · Quality and characteristics of the goods
{1} The goods supplied must correspond in quantity and quality to what is indicated in the order. In particular, the seller/supplier guarantees that the goods:
are free from defects;
correspond to the information stated on the label;
correspond to the quality known to the buyer and, where applicable, to an approved sample;
comply with all applicable legal provisions of the European Union, in particular EU Regulation No. 1169/2011 on the provision of food information to consumers, and are labelled (or back-labelled) in German with all legally required information.

{2} The seller guarantees that the legal provisions in force during production have been respected.
{3} At the time of delivery, the product must have a remaining shelf life of at least 80% of the total shelf life from the production date, allowing the buyer to place the product on the market.
Example: If the total shelf life is 12 months (365 days), the remaining shelf life at delivery must be at least 292 days (80%).
Goods delivered with a remaining shelf life of less than 80% shall not be accepted and will be returned to the seller at the seller’s expense.
IX · Warranty and Claims
Antonio Viani Importe GmbH reserves the right to reject goods that are defective or do not comply with these General Terms and Conditions and/or applicable law. In the event of a complaint, Antonio Viani Importe GmbH is entitled, at its discretion, to return the goods and receive a refund of the purchase price or replacement goods. All transport costs shall be borne by the seller/supplier. Antonio Viani Importe GmbH shall be entitled to compensation for any additional costs incurred as a result of the defect {costs for re-shipping to the buyer's customer, costs for checking or analyzing the goods, fines, etc.}.
X · Place of jurisdiction, applicable law
The legal relationship between the buyer and the seller is subject to the law of the Federal Republic of Germany. The exclusive place of jurisdiction is Göttingen.
